Acceptance of Terms

By accessing or using Grapora (“the Platform”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. Grapora is operated by Grapora Inc. (“we,” “us,” or “our”).

Eligibility

You must be at least 18 years of age and located in the United States to use the Platform. By using Grapora, you represent and warrant that you meet these requirements.

Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Marketplace Conduct

When using Grapora, you agree to:

• Provide accurate information about grape variety, brix levels, vineyard conditions, tonnage, and pricing in all listings
• Not post fraudulent, misleading, or deceptive listings
• Not circumvent the Platform to close deals offline after making initial contact through Grapora
• Not engage in harassment, abusive behavior, or discrimination toward other users
• Comply with all applicable federal, state, and local laws and regulations related to agricultural commerce

Grapora reserves the right to remove any listing or content that violates these guidelines without prior notice.

Intellectual Property

The Platform, including its design, code, and branding, is owned by Grapora Inc. You retain ownership of the data you submit through listings. By posting content on Grapora, you grant us a non-exclusive, royalty-free license to display and distribute that content as part of the Platform's services, including aggregated and anonymized market data products.

Limitation of Liability

Grapora is provided “as is” without warranties of any kind. We are not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to transaction outcomes, grape quality, harvest timing, or losses incurred from reliance on marketplace data. Our total liability shall not exceed the amount you paid to use the Platform in the twelve months preceding the claim.

Termination

We may suspend or terminate your account at any time for violation of these Terms, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including limitation of liability and intellectual property) will remain in effect.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Napa County, California.

Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
